Associate General Counsel Role:
To effectively fulfill its role, the Associate General Counsel will provide comprehensive legal advice, counsel, and services to all departments and functional areas of the Company and its subsidiaries. This includes recommending necessary legal safeguards and compliance requirements, as well as managing litigation, government audits, and enforcement matters.
Agent Issues: Evaluate Agent contracts and compensation matters, providing recommendations to ensure compliance with legal standards and fair treatment of Agents.
Regulatory Filings: Prepare and file necessary documents with regulatory bodies to ensure compliance with state and federal regulations.
Insurance Regulatory Complaints: Draft responses to complaints from customers or beneficiaries, ensuring compliance with legal requirements and addressing any concerns effectively.
Litigation Management: Collaborate with outside counsel to handle litigation matters, including responding to discovery requests, conducting legal research, and managing litigation strategies.
Policy Forms and Marketing Materials Approval: Review and approve policy forms and marketing materials to ensure compliance with legal standards and regulatory requirements.
Contract Management: Review and approve contracts for the company and its subsidiaries, organizing contract management processes to mitigate legal risks.
Assistant Secretary Duties: Assist in board meeting preparations and minute-taking for subsidiary Company Board of Directors.
Intellectual Property Management: Assist in obtaining and maintaining trademarks, copyrights, or patents, protecting the company's intellectual property rights.
Political Action Oversight: Ensure compliance with election laws, provide recommendations on candidates and facilitate employee participation in elections.
Corporate Committee Participation: Participate in various corporate committees as assigned, providing legal expertise and guidance.
Budget Preparation: Assist in preparing the Legal Department's budget, ensuring efficient allocation of resources.
Supervision of Legal Assistant: Oversee Legal Assistant's work assignments and activities, providing guidance and support as needed.
Legislative Updates: Inform functional areas of new laws or legal developments requiring compliance, keeping executives informed of relevant changes.
Financial Audit Support: Assist the Financial area in resolving legal questions during audits, providing necessary documentation and support to auditors or regulatory examiners.
Maintaining Relations with Regulatory Bodies: Cultivate positive relationships with state examiners, officials, and insurance department staff to facilitate compliance and regulatory interactions.
Perform any additional tasks as assigned, demonstrating flexibility and adaptability in fulfilling legal obligations.
Associate General Counsel Background Profile:
Licensed attorney in good standing in the state of Texas,
Two to five years' experience as an attorney
Insurance experience desired
Good communication, legal research and writing, analysis, and advocacy skills.
Project management and team experience.
Experience managing litigation, subpoenas, and settlements would be helpful.
Knowledge of trusts and estates and general corporate laws, such as, employer
benefits law, employment law, intellectual property law privacy and data security
laws insurance holding company laws, and other applicable laws helpful.
