Please read the following Terms of Service Agreement carefully. By accessing or using the Frontline Source Group website at frontlinesourcegroup.com (the Site) and the related services (the Services), you agree to be bound by these Terms and all terms incorporated herein by reference. It is the responsibility of the user, customer, or prospective customer to read these terms before proceeding to use the Site. If you do not expressly agree to all of the terms and conditions, please do not access or use the Site or the Services.

Acceptance of Terms and Description of Services

Acceptance of Terms

The following Terms of Service Agreement (the TOS) is a legally binding agreement that governs the relationship with users of, and others who interact or interface with, Frontline Source Group, Inc. (also known as Frontline Source Group), located at 901 Main Street, Suite 4650, Dallas, Texas 75202, and its subsidiaries and affiliates, in connection with the use of the Frontline Source Group website at https://www.frontlinesourcegroup.com (the Site) and the related Services described below.

Description of Website Services Offered

The Site is a news and information website with the following description: to provide employers who are existing or prospective clients of Frontline Source Group, Inc. with information and resources for hiring internal staff, and to provide professional individuals seeking employment with an online tool and resources to locate opportunities that may match their qualifications and to submit their resume for possible employment. Visitors to the Site are deemed users of the contained Services for purposes of this TOS.

The user acknowledges and agrees that the Services made available through the website and applications, which may include some mobile applications and that those applications may be made available on various social media networking sites and numerous other platforms and downloadable programs, are the sole property of Frontline Source Group, Inc. At its discretion, Frontline Source Group, Inc. may offer additional website Services or products, or update, modify, or revise any current content and Services, and this Agreement shall apply to any and all additional Services or products and any and all updated, modified, or revised Services unless otherwise stipulated.

Frontline Source Group, Inc. reserves the right to cancel and cease offering any of the aforementioned Services or products. The user acknowledges, accepts, and agrees that Frontline Source Group, Inc. shall not be held liable for any such updates, modifications, revisions, suspensions, or discontinuance of any of the Services or products. Continued use of the Services after the posting of any updates, changes, or modifications constitutes acceptance of those updates, changes, or modifications, and frequent review of this Agreement and any applicable terms and policies should be made by the user to ensure awareness of all terms and policies currently in effect. If the user does not agree to the updated, revised, or modified terms, the user must stop using the provided Services. The Services are provided AS IS and Frontline Source Group, Inc. shall not assume responsibility or obligation for the timeliness, missed delivery, deletion, or any failure to store user content, communication, or personalization settings.

Privacy Policy and User Data

Every member's registration data and other personal information are protected by Frontline Source Group, Inc.'s Online Privacy Policy. The full Privacy Policy is published at privacy policy. As a member, the user consents to the collection and use of the information provided, including the transfer of information within the United States or other countries for storage, processing, or use by Frontline Source Group, Inc. or its subsidiaries and affiliates. Separately, SMS messaging through the Frontline Source Group platform is governed by the SMS Privacy Terms and Conditions published at SMS messaging privacy terms.

Global Use, Export, and Import Compliance

Due to the global nature of the internet, through the use of the Frontline Source Group network, the user agrees to comply with all local rules relating to online conduct and acceptable Content. Uploading, posting, or transferring of software, technology, and other technical data may be subject to the export and import laws of the United States and possibly other countries. Through the use of the network, the user agrees to comply with all applicable export and import laws, statutes, and regulations, including but not limited to the Export Administration Regulations and the sanctions control program of the United States. The user further states and pledges that the user:

• Is not on the list of prohibited individuals identified on any government export exclusion report nor a member of any other government that may be part of an export-prohibited country identified in applicable export and import laws and regulations
• Agrees not to transfer any software, technology, or other technical data through the use of the network Services to any export-prohibited country
• Agrees not to use the website network Services for any military, nuclear, missile, chemical, or biological weaponry end uses that would be a violation of U.S. export laws
• Agrees not to post, transfer, or upload any software, technology, or other technical data that would be in violation of U.S. or other applicable export or import laws

User Content, Contributions, and Commercial Reuse

Content Placed or Made Available for Company Services

Frontline Source Group, Inc. shall not lay claim to ownership of any content submitted by any visitor or user, nor make such content available for inclusion on website Services. The user grants and allows Frontline Source Group, Inc. the worldwide, royalty-free, and non-exclusive licenses below as applicable.

For content submitted or made available for inclusion on the publicly accessible areas of Frontline Source Group, Inc.'s sites, the license to use, distribute, reproduce, modify, adapt, publicly perform, or publicly display said Content on the network Services is for the sole purpose of providing and promoting the specific area to which this content was placed or made available for viewing. This license shall be available so long as the user is a member of Frontline Source Group, Inc.'s sites, and shall terminate when the user elects to discontinue membership.

For photos, audio, video, or graphics submitted or made available for inclusion on the publicly accessible areas of Frontline Source Group, Inc.'s sites, the same license terms apply for the same purpose, and the same termination terms apply.

For any other content submitted or made available for inclusion on the publicly accessible areas of Frontline Source Group, Inc.'s sites, the continuous, binding, and completely sublicensable license is meant to permit Frontline Source Group, Inc. to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform, or publicly display said content, whether in whole or in part, and to incorporate any such Content into other works in any arrangement or medium currently used or later developed.

Areas that are deemed publicly accessible are the areas of the network properties meant to be available to the general public, which would include message boards and groups openly available to users.

Contributions to Company Website

Frontline Source Group, Inc. provides an area for users to contribute feedback to the website. When the user submits ideas, documents, suggestions, or proposals (Contributions) to the Site, the user acknowledges and agrees that:

• The Contributions do not contain any type of confidential or proprietary information
• Frontline Source Group shall not be liable or under any obligation to ensure or maintain confidentiality, expressed or implied, related to any Contributions
• Frontline Source Group shall be entitled to make use of or disclose any such Contributions in any manner as it may see fit
• The contributor's Contributions shall automatically become the sole property of Frontline Source Group
• Frontline Source Group is under no obligation to compensate or provide any form of reimbursement

Commercial Reuse of Services

The user agrees not to replicate, duplicate, copy, trade, sell, resell, or exploit for any commercial reason any part, use of, or access to Frontline Source Group's sites.

Indemnity, Modifications, Advertisers, and Proprietary Rights

Indemnity

All users agree to insure and hold Frontline Source Group, Inc., its subsidiaries, affiliates, agents, employees, officers, partners, or licensors blameless or not liable for any claim or demand, which may include but is not limited to reasonable attorney fees, made by any third party that may arise from any content a user submits, posts, modifies, transmits, or otherwise makes available through the Services, the use of Frontline Source Group Services or the user's connection with these Services, the user's violations of the Terms of Service, or the user's violation of any rights of another person.

Modifications

Frontline Source Group, Inc. reserves the right at any time it may deem fit to modify, alter, or discontinue, whether temporarily or permanently, the service or any part thereof, with or without prior notice. Frontline Source Group, Inc. shall not be held liable to the user or to any third party for any such alteration, modification, suspension, or discontinuance of the Services or any part thereof.

Advertisers

Any correspondence or business dealings with, or the participation in any promotions of, advertisers located on or through the Services, including the payment or delivery of related goods or Services, and any other term, condition, warranty, or representation associated with such dealings, are solely between the user and any such advertiser. The user agrees that Frontline Source Group, Inc. shall not be held responsible or liable for any loss or damage of any nature or manner incurred as a direct result of any such dealings or as a result of the presence of such advertisers on the website.

Links

Either Frontline Source Group, Inc. or any third parties may provide links to other websites or resources. The user acknowledges and agrees that Frontline Source Group, Inc. is not responsible for the availability of any such external sites or resources, and does not endorse and is not responsible or liable for any content, products, advertising, or other materials on or available from such third party sites or resources. The user further acknowledges and agrees that Frontline Source Group, Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss that may be a result of, caused, or allegedly caused by or in connection with the use of or the reliance on any such content, goods, or Services made available on or through any such site or resource.

Proprietary Rights

The user acknowledges and agrees that Frontline Source Group, Inc.'s Services and any essential software that may be used in connection with the Services (Software) shall contain proprietary and confidential material that is protected by applicable intellectual property rights and other laws. The user further acknowledges and agrees that any Content contained in any advertisements or information presented by and through the Services or by advertisers is protected by copyrights, trademarks, patents, or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by Frontline Source Group, Inc. or such applicable licensor, the user agrees not to alter, modify, lease, rent, loan, sell, distribute, transmit, broadcast, publicly perform, or create any plagiarized works based on Frontline Source Group, Inc. Services (e.g., Content or Software), in whole or part.

Frontline Source Group, Inc. grants the user personal, non-transferable, and non-exclusive rights or license to make use of the object code or the Software on a single computer, as long as the user does not, and shall not, allow any third party to duplicate, alter, modify, create or plagiarize work from, reverse engineer, reverse assemble, or otherwise attempt to locate or discern any source code, sell, assign, sublicense, grant a security interest in, or otherwise transfer any right in the Software. The user agrees not to alter or change the Software in any manner, nature, or form, and not to use any modified versions of the Software, including without limitation for the purpose of obtaining unauthorized access to the Services. The user agrees not to access or attempt to access the Services through any means other than through the interface provided by Frontline Source Group, Inc. for use in accessing the Services.

Warranty Disclaimers and Limitation of Liability

YOU HEREIN EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

THE USE OF FRONTLINE SOURCE GROUP, INC. SERVICES AND SOFTWARE ARE AT THE SOLE RISK BY YOU. THE SERVICES AND SOFTWARE SHALL BE PROVIDED ON AN AS IS OR AS AVAILABLE BASIS. FRONTLINE SOURCE GROUP, INC. AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FRONTLINE SOURCE GROUP, INC. AND ITS SUBSIDIARIES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS MAKE NO WARRANTIES THAT (i) FRONTLINE SOURCE GROUP, INC. SERVICES OR SOFTWARE WILL MEET YOUR REQUIREMENTS; (ii) FRONTLINE SOURCE GROUP, INC. SERVICES OR SOFTWARE SHALL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THAT SUCH RESULTS WHICH MAY BE OBTAINED FROM THE USE OF THE FRONTLINE SOURCE GROUP, INC. SERVICES OR SOFTWARE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, ANY INFORMATION, OR OTHER MATERIAL THAT MAY BE PURCHASED OR OBTAINED THROUGH THE SERVICES OR SOFTWARE WILL MEET YOUR EXPECTATIONS; AND (v) THAT ANY ERRORS CONTAINED IN THE SOFTWARE SHALL BE CORRECTED.

ANY INFORMATION OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED BY WAY OF FRONTLINE SOURCE GROUP, INC. SERVICES OR SOFTWARE SHALL BE ACCESSED AT YOUR SOLE DISCRETION AND SOLE RISK, AND YOU SHALL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE TO YOUR COMPUTER OR INTERNET ACCESS, DOWNLOADING OR DISPLAYING, OR FOR ANY LOSS OF DATA THAT COULD RESULT FROM THE DOWNLOAD OF ANY SUCH INFORMATION OR MATERIAL.

NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM FRONTLINE SOURCE GROUP, INC. OR FROM THE SERVICES OR SOFTWARE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

A small percentage of users may experience some degree of epileptic seizure when exposed to certain light patterns or backgrounds that may be contained on a computer screen or while using the Services. Certain conditions may induce a previously unknown condition or undetected epileptic symptom in users who have shown no history of any prior seizure or epilepsy. If you, anyone you know, or anyone in your family has an epileptic condition, please consult a physician if you experience any of the following symptoms while using the Services: dizziness, altered vision, eye or muscle twitches, loss of awareness, disorientation, any involuntary movement, or convulsions.

Limitation of Liability

YOU EXPLICITLY ACKNOWLEDGE, UNDERSTAND, AND AGREE THAT FRONTLINE SOURCE GROUP, INC. AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES THAT MAY BE RELATED TO THE LOSS OF ANY PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN THOUGH FRONTLINE SOURCE GROUP, INC. MAY HAVE BEEN ADVISED OF THE POSSIBILITY THAT SAID DAMAGES MAY OCCUR, AND THAT RESULT FROM:

• The use or inability to use the Services
• The cost of procuring substitute goods and services
• Unauthorized access to or the alteration of your transmissions or data
• Statements or conduct of any third party on the Services
• Any other matter that may be related to the Services

Release

In the event you have a dispute, you agree to release Frontline Source Group, Inc. (and its officers, directors, employees, agents, parent, subsidiaries, affiliates, co-branders, partners, and any other third parties) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected or unsuspected, disclosed and undisclosed, arising out of or in any way connected to such dispute.

Special Admonition Related to Financial Matters

If you intend to create or join any service, or receive or request any news, messages, alerts, or other information from the Services concerning companies, stock quotes, investments, or securities, please review the Warranty Disclaimers and Limitation of Liability sections again. For this particular type of information, the phrase Let the investor beware is appropriate. Frontline Source Group, Inc.'s content is provided primarily for informational purposes, and no content provided or included in the Services is intended for trading or investing purposes. Frontline Source Group, Inc. and its licensors shall not be responsible or liable for the accuracy, usefulness, or availability of any information transmitted or made available by way of the Services, and shall not be responsible or liable for any trading or investment decisions based on any such information.

Exclusion and Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. SOME OF THE ABOVE LIMITATIONS OF THE WARRANTY DISCLAIMERS AND LIMITATION OF LIABILITY SECTIONS MAY NOT APPLY TO YOU.

Third Party Beneficiaries

The user acknowledges, understands, and agrees that, unless otherwise expressly provided in this TOS, there shall be no third-party beneficiaries to this agreement.

Copyright and Intellectual Property Infringement Claims

Notice

Frontline Source Group, Inc. may furnish the user with notices, including those regarding any changes to the TOS, including but not limited to email, regular mail, MMS or SMS text messaging, postings on the website Services, or other reasonable means currently known or later developed. Any such notices may not be received if the user violates any aspects of the TOS by accessing the Services in an unauthorized manner. The user's acceptance of this TOS constitutes the user's agreement to be deemed to have received any and all notices that would have been delivered had the user accessed the Services in an authorized manner.

Trademark Information

The user acknowledges, understands, and agrees that all of the Frontline Source Group, Inc. trademarks, copyrights, trade names, service marks, and other Frontline Source Group, Inc. logos and any brand features, and product and service names, are trademarks and shall remain the property of Frontline Source Group, Inc. The user agrees not to display or use in any manner the Frontline Source Group, Inc. logo or marks without obtaining Frontline Source Group, Inc.'s prior written consent. Copyright or Intellectual Property Infringement Claims Notice and Procedures

Frontline Source Group, Inc. respects the intellectual property of others and asks that all users do the same. In appropriate circumstances and at its sole discretion, Frontline Source Group, Inc. may disable or terminate the accounts of any user who violates the TOS or infringes the rights of others. If you believe your work has been duplicated in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should provide the following information to Frontline Source Group, Inc.:

• The electronic or physical signature of the individual authorized on behalf of the owner of the copyright or other intellectual property interest
• A description of the copyrighted work or other intellectual property that you believe has been infringed upon
• A description of the location of the site that you allege has been infringing upon your work
• Your physical address, telephone number, and email address
• A statement in which you state that the alleged and disputed use of your work is not authorized by the copyright owner, its agents, or the law

Governing Law, Disputes, and Reporting Violations

Entire Agreement

This TOS constitutes the entire agreement between the user and Frontline Source Group, Inc., and shall govern the use of the Services, superseding any prior version of this TOS between the user and Frontline Source Group, Inc. with respect to the Services. The user may also be subject to additional terms and conditions that may apply when the user uses or purchases certain other Frontline Source Group, Inc. Services, affiliate Services, third-party content, or third-party software.

Choice of Law and Forum

It is the mutual agreement of both the user and Frontline Source Group, Inc. with regard to the TOS that the relationship between the parties shall be governed by the laws of the state of Texas without regard to its conflict of law provisions, and that any and all claims, causes of action, or disputes arising out of or relating to the TOS, or the relationship between the user and Frontline Source Group, Inc., shall be filed within the courts having jurisdiction within the County of Dallas, Texas or the U.S. District Court located in said state. The user and Frontline Source Group, Inc. agree to submit to the jurisdiction of the courts as previously mentioned, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

Waiver and Severability of Terms

If at any time Frontline Source Group, Inc. fails to exercise or enforce any right or provision of the TOS, such failure shall not constitute a waiver of such right or provision. If any provision of this TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.

Statute of Limitations

The user acknowledges, understands, and agrees that regardless of any statute or law to the contrary, any claim or action arising out of or related to the use of the Services or the TOS must be filed within 1 year after said claim or cause of action arose or shall be forever barred.
