Overview:
A tax manager needs to be someone who is self-motivated and eager to learn. This position requires a “hands-on” approach where both review and compliance work will be performed. With a relatively small tax team environment, the tax manager position requires the tax manager to be proactive in organizing and communicating information to the tax director as well as the staff. The tax manager will be assigned several business segment divisions of the company where he/she will be expected to handle all tax-related issues within these assigned business segments. Responsibilities will include coordinating the timing of tax return preparation by internal tax staff, reviewing and preparing various business segment tax returns, researching various tax issues, and most importantly, strategic thinking of ways to create future tax value within their assigned business segments. The tax manager needs to posses a high level of technical ability but also must be able to think globally about the company business environment so that tax value can be added from a business operations standpoint.
Specific responsibilities and qualifications include:
Responsibilities:
Review of federal and state income tax returns for entities for which company does not maintain the books
Tax return reviews include:
Analysis of general ledger reports generated by outside third party partners
Comparison of current year changes in equity per the third party versus changes per company’s general ledger
Verification of allocations of taxable income & distributions per the partnership or LLC agreement
Preparation of letters of approval & authorization to file such returns, or future consultations with third party accounting &/or tax personnel if changes are necessary
Review &/or preparation of federal and state income tax returns for internal Hillwood entities
Tax return preparation includes:
o Analysis of internally-generated general ledger reports
o Preparation of tax return workpapers using Excel Software
o Identification of book/tax differences, as well as adjustments and corrections
o Verification of current year changes in equity
o Allocation of taxable income per the partnership or LLC agreement
o Preparation of the actual tax forms using CCH ProFx Tax Software
Calculation &/or Review of Quarterly Tax Liability Estimates for all entities
Tax Planning and Research Projects
Structuring of formations, acquisitions, dispositions, and terminations of company-related entities &/or properties
Tracking of & responsibility for company entity formations and terminations/liquidations
Development of a Tax Forecasting Model for long-term tax planning of liability timing/structuring, etc.
Study & Consultation regarding State Tax Liabilities for non-Texas locations
Other special projects which include:
1065 M-3 issues
FAS 109/FIN 48 issues
Texas Margin Tax Analysis

Position Overview:
In this position you will be a key member of the company's international tax team and will work closely with international and domestic tax team members. The primary focus of this position will be calculating the quarterly and annual tax provisions in accordance with FAS 109 and FIN 48 for the company's international subsidiaries, including effective rate analysis and related financial statement disclosures.

Other responsibilities include:
US tax compliance for the company's international operations; assisting with the coordination and management of international tax filings; and assisting with tax audits involving international issues.

II. PRINCIPAL RESPONSIBILITIES
List and describe this positions principal responsibilities in concise, comprehensive statements.

1. Calculation of quarterly and annual tax provisions in accordance with FAS 109 and FIN 48 for the company's international subsidiaries, including effective rate analysis and related financial statement disclosures. Coordination with company Accounting and Tax to meet their consolidated tax accounting requirements as well. This position will also involve combining both tax accounting and technology skills to innovate and improve the tax accounting process.

2. Preparation and review of Forms 5471s, 8858s, 8865s, 1118, and related disclosures for accuracy and conformity with appropriate tax laws and regulations. Preparation and review of earnings and profits calculations, Subpart F analysis, and foreign tax credit analysis. Use highly developed knowledge of tax law to develop lowest tax cost and strongest defensible tax positions where regulations are unclear. Coordination with foreign tax personnel, Accounting and Tax to meet consolidated requirements.

3. Assisting with international audit issues and supporting Tax with international issues on the federal IRS audits. Gather documents requested by auditor and use highly specialized knowledge and judgment to present requested information in most favorable light. Explain and defend position on disagreed items.

4. Track and analyze tax law changes in all reporting jurisdictions to ensure compliance in all tax reporting and to identify tax and process changing opportunities.

5. Assist in analysis, planning, implementation and integration of tax sensitive transactions, i.e., foreign acquisitions and dispositions. Use highly technical skills to present alternatives that will minimize tax liabilities.

6. In pursuit of tax minimization, as opportunities arise, coordinate special tax projects that may overlap many business disciplines.

Financial Accounting Consultant: As a direct report to the Manager of Corporate Accounting, the Financial Accounting Consultant will be primarily responsible for the accounting for derivatives, interest rate swaps, hedge accounting (FAS 133), general insurance, equity, employee compensation plans including restricted stock, stock options and Rabbi Trust. In addition, other responsibilities include analyzing monthly financials and reconciling selected general ledger accounts. Possessing a strong knowledge of GAAP with specific knowledge of FAS 52, FAS 133 and FAS 123r
Accounting for Rabbi Trust
Accounting for all stock activity
Perform and ensure conformity to GAAP for derivatives, hedge accounting, interest rate swaps and employee compensation plans
Support the monthly general ledger and Hyperion close process
Provide financial support and ad hoc analysis to departmental and senior management
Preparing various Oracle and Hyperion journal entries
Assist SEC Reporting function with financial data for disclosures related to stock compensation, derivatives, and stock summary for EPS
Assist Tax Department with analysis and explanations related to hedge accounting
Develop and maintain SOX controls for assigned responsibilities
Cross train with other corporate accounting functions
Assist with General Ledger Shared Service tasks maintaining the Corporate general ledger

Qualifications:
Accounting or Finance degree required, MBA a plus
CPA preferred
Strong financial background with 7-10 years of progressive, relevant experience
Excellent PC skills including Windows, Microsoft Office products
Knowledge of Oracle Software preferred
Knowledge of Hyperion Enterprise preferred
Experience with publicly traded company a plus
Public Accounting experience a plus
Comfortable interfacing with operational and financial leadership

Senior Accountant: As a direct report to the Supervisor of Corporate Accounting, the Senior Accountant will be responsible for global pension and post-retirement accounting, world-wide asset retirement obligations, debt, bonus accruals and reconciling selected general ledger accounts. Specific responsibilities of the Senior Accountant include, but are not limited to:
Perform accounting and analysis for US pension and post-retirement plans
Monitor non-US defined benefit pension plans
Prepare analysis and ensure GAAP conformity for pension plans of unconsolidated subsidiaries
Develop and maintain centralized pension SOX monitoring controls
Maintain internal and external debt accounts, including term, revolver loans and subordinated debt as well as prepaid debt amortization
Oversee global asset retirement obligations
Ensure valid, accurate and complete US incentive bonus accruals
Reconcile and analyze selected inter company and third party general ledger accounts
Prepare various Oracle journal entries
Provide assistance in general ledger shared service tasks
Interact with internal and external auditors
Cross-train with other corporate accounting functions
Participate in Sarbanes-Oxley testing
Assistance in special projects as assigned by manager
Qualifications:
Bachelors degree in accounting required, CPA or MBA a plus
Excellent PC skills including Windows, Microsoft Office, and Lotus Notes
A minimum of 4 years professional accounting experience
Previous experience working with Hyperion Enterprise and Oracle General Ledger preferred
High degree of knowledge related to GAAP
